These Terms of Service ("Terms") govern your access to and use of the Eliit website, application, and related services (collectively, the "Service"), operated by Eliit LLC, an Idaho limited liability company ("Eliit," "we," "us," or "our").
§01 Acceptance of these terms
By creating an account, requesting beta access, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
You are entering into this agreement on behalf of yourself as an individual. If you are using the Service in connection with an organization, you represent that you have authority to do so, but your individual use is what is governed by these Terms.
§02 Medical disclaimer
Eliit is not medical advice. We provide training insights and personalized plans based on the data you give us. We do not know your unique medical history, cardiac health, injury status, pregnancy status, medications, or any other condition that affects your readiness to exercise.
You should consult a qualified physician or licensed medical professional before beginning any training program, including the plans generated by the Service. This is especially important if you:
- Have a known or suspected cardiac condition, high blood pressure, or other cardiovascular concerns
- Are pregnant, postpartum, or may become pregnant
- Are receiving active medical treatment for a chronic illness
- Have a recent injury, surgical recovery, or ongoing musculoskeletal concern
- Have been inactive for an extended period
- Are taking medication that affects heart rate, blood pressure, or exercise tolerance
If at any point during exercise you experience chest pain, lightheadedness, severe shortness of breath, or other symptoms, stop immediately and seek medical attention.
Assumption of risk
Physical exercise carries inherent risks, including injury, illness, and in rare cases serious harm or death. You understand and acknowledge these risks, and you voluntarily accept them. You are solely responsible for your own safety, including deciding when to rest, adjust intensity, or stop any session prescribed by the Service.
§03 Eligibility & attestation
To use the Service, you must:
- Be at least 18 years old
- Have the legal capacity to enter into this agreement
- Not be prohibited from using the Service under applicable law
By using the Service, you attest that you have either consulted a physician about your readiness to engage in the physical activity prescribed, or that you believe in good faith that you are healthy enough to do so. Eliit relies on this attestation. If at any time your health status changes such that exercise becomes contraindicated, you agree to pause or discontinue use of the Service until cleared by a physician.
§04 Private beta
The Service is currently offered in private beta. This means:
- It is provided on an as-is basis, with known and unknown bugs, limitations, and rough edges.
- We may introduce breaking changes, redesigns, or new requirements at any time without prior notice.
- There is no service-level agreement (SLA), uptime guarantee, or support guarantee during the beta period.
- We may terminate or pause the beta at any time, in whole or in part, at our sole discretion.
- Features, data structures, and outputs may change. Data you have in the system today may be migrated, restructured, or in rare cases reset.
You accept these conditions as part of participating in the beta. Feedback you share with us may be used to improve the Service; see §06 below for ownership details.
§05 Your account & conduct
Your account
- You must provide accurate, current, and complete information at signup and keep it up to date.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- One account per person. Do not share, transfer, or sell your account.
- Notify us promptly at hello@traineliit.com if you suspect unauthorized access.
Prohibited conduct
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code or models powering the Service
- Scrape, crawl, or use automated means to access the Service other than those we expressly provide
- Interfere with the operation of the Service, other users, or the underlying infrastructure
- Submit false, fraudulent, or misleading information
- Use the Service to violate any law, regulation, or third-party right
- Attempt to gain unauthorized access to accounts, systems, or data
- Resell, redistribute, or offer the Service to third parties without our written consent
§06 Ownership & licenses
What you own
You own the data you provide to the Service — your account and profile information, the workouts you log, your feedback, ratings, notes, and any other input you submit (collectively, "User Content"). We do not claim ownership of your User Content.
By using the Service, you grant Eliit a worldwide, non-exclusive, royalty-free license to use, store, process, reproduce, and display your User Content for the purposes of (a) delivering the Service to you, (b) operating, maintaining, and securing the Service, and (c) improving the Service, our models, and our algorithms. This license includes the right to use aggregated or de-identified data derived from your User Content for research and product improvement.
This license ends when you delete your account or the specific User Content, subject to the retention period described in our Privacy Policy. Aggregated and de-identified data — which can no longer be linked back to you — may be retained indefinitely.
What we own
Eliit, including the software, machine-learning models, algorithms, training plans, coaching narratives, analyses, UI designs, brand, and any other output generated by the Service ("Eliit Content"), is owned by Eliit LLC or our licensors and is protected by intellectual-property laws.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use Eliit Content solely for your own individual training. You may not copy, redistribute, sell, publish, or create derivative works from Eliit Content without our prior written consent, except that you may share small excerpts (e.g., a single workout or a screenshot) in personal social posts in a way that doesn't misrepresent the Service.
Feedback
If you send us suggestions, ideas, or feedback ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use that Feedback without restriction or compensation. We are free to act on Feedback without attribution or obligation to you.
§07 Third-party services
The Service integrates with third-party services to bring your data in and out of Eliit — most notably Garmin during the private beta, and additional device ecosystems over time. Your use of those services is governed by their own terms and privacy policies, which you should review independently.
We are not responsible for the practices, availability, or outages of third-party services. If a third-party service changes its API, pricing, or terms in a way that affects Eliit functionality, we'll do our best to adapt or communicate alternatives, but we cannot guarantee continuity.
§08 Fees
Access to Eliit is currently free during the private beta. We reserve the right to introduce paid features or subscription tiers in the future, with advance notice. When we do, we will clearly describe what is paid versus free, and you will have the opportunity to decide whether to continue. Your use of free features will not automatically become paid without your consent.
§09 Termination
By you
You may stop using the Service or delete your account at any time. Email hello@traineliit.com or use any self-service deletion option provided in the app.
By us
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if your use of the Service poses a risk to us or other users, or if we decide to discontinue the Service. In non-urgent cases we will try to give you advance notice; in cases involving abuse, fraud, or security, we may act immediately.
Effect of termination
Upon termination, your right to use the Service ends. Sections that by their nature should survive termination will survive, including ownership, warranty disclaimers, liability limits, indemnification, dispute resolution, and governing law. Your data will be handled according to our Privacy Policy.
§10 Warranty disclaimer
WITHOUT LIMITING THE FOREGOING, ELIIT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY TRAINING PLAN, ANALYSIS, OR COACHING NARRATIVE GENERATED BY THE SERVICE WILL BE ACCURATE, COMPLETE, APPROPRIATE FOR YOUR INDIVIDUAL CIRCUMSTANCES, OR WILL PRODUCE ANY PARTICULAR RESULT.
§11 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELIIT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100), OR (B) THE AMOUNT YOU HAVE PAID ELIIT IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT WHERE SUCH LIMITATION IS PROHIBITED BY LAW.
§12 Indemnification
You agree to defend, indemnify, and hold harmless Eliit LLC, its affiliates, and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) any physical injury or illness you experience in connection with the Service, except to the extent caused by our gross negligence or willful misconduct.
§13 Dispute resolution — arbitration & class-action waiver
Informal resolution first
Before filing any formal dispute, you agree to contact us at hello@traineliit.com and make a good-faith effort to resolve the issue informally. We'll do the same.
Binding arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved through binding individual arbitration, rather than in court, except that you may bring claims in small-claims court if they qualify.
The arbitration will be administered by a mutually agreed arbitration provider in accordance with its rules, and will take place in Idaho, USA, or by remote proceeding at the arbitrator's discretion. The arbitrator's award will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver
You and Eliit agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.
Opt-out of arbitration
You may opt out of the arbitration and class-action waiver provisions by emailing hello@traineliit.com within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and including your name and account email. If you opt out, the remainder of these Terms still applies.
§14 Governing law
These Terms are governed by the laws of the State of Idaho, USA, without regard to its conflict-of-laws rules. Except for disputes subject to arbitration under §13, the state and federal courts located in Idaho will have exclusive jurisdiction over any action arising out of or relating to these Terms, and you consent to personal jurisdiction and venue in those courts.
§15 Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify you by email and/or through the Service before the changes take effect, giving you a reasonable opportunity to review them. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page always reflects the current version.
